Terms of Cooperation

These Terms of Cooperation define the rules of cooperation with Miko Moon regarding musical, production, consulting, and concert services. They apply to all services available on mikomoon.com and are binding for clients worldwide.

§1 General Provisions

  • These Terms of Cooperation define the rules of cooperation with Miko Moon regarding musical, production, consulting, and concert services.
  • The Terms apply to all services available on the mikomoon.com website.
  • Use of the services constitutes acceptance of these Terms.
  • These Terms apply to clients worldwide.
  • The governing law applicable to these Terms is Polish law.

§2 Scope of Services

Miko Moon offers, in particular:

  • drum recordings
  • MIDI recordings
  • transcriptions
  • music production
  • music consultations
  • percussion recordings
  • post-production
  • concert projects
  • other services agreed individually

§3 Contact

  • The primary form of contact is e-mail communication.
  • Social media and messaging platforms do not constitute an official form of contact.
  • Response times may be extended depending on the current project workload.
  • If no response is received, the message may have been delivered to the spam folder.

§4 Commencement of Cooperation

  • Cooperation begins via e-mail contact.
  • Following initial arrangements, an online consultation may be scheduled.
  • Consultations constitute the first stage of work on the project.
  • Project details are determined during the consultation.

§5 Consultations

  • Consultations are conducted online and constitute a stage of work on the project.
  • Consultations are paid services.
  • During consultations, details concerning the execution are determined, in particular:
    • nature of the composition
    • musical style
    • tempo
    • sound
    • scope of work
    • completion deadline
  • Consultations may be recorded for documentation purposes and confirmation of project arrangements.

§6 Pricing and Payments

  • Each project is priced individually.
  • Payment is required prior to commencement of the work.
  • Payments are accepted in the following currencies:
    • USD
    • EUR
  • Available payment methods:
    • Stripe
    • PayPal
    • Wise
    • other methods agreed individually

§7 Performance of Services

  • The completion deadline is determined individually.
  • The services are creative and artistic in nature.
  • The client makes artistic decisions during consultations.
  • After approval of the concept, any changes are treated as revisions.

§8 Revisions

  • Revisions resulting from the contractor’s error are provided free of charge.
  • Revisions resulting from a change of concept are subject to additional payment.
  • The scope and cost of revisions are determined individually.

§9 Cancellation

  • Cancellation before the consultation does not generate any costs.
  • Cancellation after the consultation requires payment for the consultation.
  • No refunds are available once work on the project has commenced.
  • In the event of non-performance of the service due to the fault of Miko Moon, the payment shall be refunded.

§10 Delivery of Materials

  • Materials are delivered electronically.
  • The standard method of delivery is Google Drive.
  • The client is obliged to download the materials within 30 days.
  • After this period, the materials may be deleted.
  • Restoration of archived materials may involve additional costs.

§11 Copyright

  • The client receives a license to use the recordings within the scope of the project.
  • The license is granted without territorial or time limitations.
  • The license applies exclusively to the specific project.
  • The following are prohibited:
    • sampling the recordings
    • selling the tracks
    • transferring materials to third parties
    • using the materials in other projects without consent

§12 Credits and Information About Cooperation

Miko Moon’s participation in the execution of a project does not constitute co-ownership of the work or financial participation in its exploitation. Miko Moon retains the right to inform about participation in the project and to use excerpts of the work for promotional and portfolio purposes.

§13 Portfolio

  • For promotional and self-promotional purposes, Miko Moon may present excerpts of completed works.
  • This applies to audio materials, video materials, music videos, cover artwork, and promotional materials made available by artists.
  • The materials are used exclusively for promotional purposes.

§14 Client Responsibility

  • The client declares that they hold the rights to the materials provided for execution or possess authorization to use them.
  • The client bears responsibility for any infringement of third-party rights resulting in particular from:
    • lack of consent from the copyright holder
    • lack of a license to use the work
    • use of fragments of third-party compositions
    • use of instrumental parts belonging to third parties
    • use of materials protected by copyright
  • In the case of transcriptions or recordings inspired by existing works, the client bears responsibility for the manner in which the material is used.
  • Miko Moon shall not be liable for the client’s use of the materials.

§15 Nature of the Services

  • The services are artistic and creative in nature.
  • The final result is subjective in nature.
  • No guarantee of commercial outcome is provided.

§16 Concert Projects

  • Miko Moon offers concert projects, in particular:
    • Master of Rhythm
    • Miko Jazz Band
    • Miko Solo Act
    • Miko Moon Quintet
  • Each project has an individual technical rider.
  • The organizer is obliged to comply with the technical rider.
  • Financial terms are determined individually.
  • Organizational terms are determined individually.

§17 Information on the Website

  • The information presented on the website is for informational purposes only.
  • The presented equipment, brands, and solutions are illustrative in nature.

§18 Limitation of Liability

Miko Moon shall not be liable for:

  • lost profits
  • indirect damages
  • consequences arising from the use of the materials

§19 Force Majeure

Miko Moon shall not be liable for delays resulting from:

  • illness
  • equipment failure
  • force majeure events

§20 No Partnership Relationship

The performance of services does not create a partnership relationship, employment relationship, or co-ownership of the project.

§21 GDPR

Client data is used exclusively for the purpose of performing the services.

§22 Final Provisions
